1. Definitions
- Seller / Service Provider: Libyan ABAR Oil Services Company.
- Buyer / Client: Any entity purchasing products or services from ABAR.
- Order: Any request issued by the Buyer for supply of products or services.
- Products / Goods: Materials, chemicals, equipment, spare parts or any product supplied by ABAR.
- Services: Mud services, technical field support, logistics assistance, engineering supply services, or any contracted service offered by ABAR.
2. Scope of Application
These Terms & Conditions apply to all sales and services provided by ABAR. They prevail over any terms issued by the Buyer unless agreed in writing by both parties.
3. Quotations & Orders
- All quotations are valid only for the period indicated in the offer.
- Orders must include: item description, technical specifications, quantities, delivery details, and contact information.
- An order is considered accepted only upon written confirmation by ABAR.
4. Delivery
- Delivery terms follow INCOTERMS as stated in the quotation (EXW, CIF, DAP, DDP, etc.).
- Risk transfers to the Buyer when the goods are handed to the carrier or received by the Buyer, as per agreed INCOTERMS.
- Delivery delays caused by force majeure events (war, strikes, port delays, natural disasters, sanctions, etc.) are not the responsibility of ABAR.
5. Prices & Payment Terms
- All prices exclude taxes, fees, customs duties, and shipping unless explicitly stated.
- Payments must be made according to the agreed terms (e.g., advance payment, LC, bank transfer).
- In case of delayed payment, ABAR may suspend delivery, cancel ongoing or future orders, or request revised payment terms before continuing business.
6. Product Quality, Certifications & Warranty
- Products supplied are original, traceable, and compliant with stated specifications.
- Certificates (COC, COO, MSDS, TDS, ISO, test reports) are provided if specified in the order and may be subject to additional cost.
- ABAR is not liable for misuse, improper storage, incorrect installation by the Buyer, or changes made by third parties.
- Warranty terms apply only if provided in the quotation or manufacturer documents.
7. Field & Technical Services
- All site work must comply with HSE requirements of the Client and ABAR HSQ policies.
- The Client must provide safe access, work permits, and necessary site information.
- ABAR is not responsible for accidents caused by unsafe site conditions or client negligence.
8. Claims & Complaints
- Complaints must be submitted in writing with supporting documents.
- Quantity/shortage claims must be reported within 48 hours of receiving goods.
- Quality claims must be reported within 14 days of discovering the issue.
- No repair or replacement shall be performed by third parties without ABAR's written consent.
9. Termination
ABAR may suspend or terminate the order if:
- The Buyer fails to pay on time.
- The Buyer provides incorrect or incomplete technical data.
- External legal restrictions (sanctions, export controls, force majeure) impact delivery.
10. Legal Compliance & Jurisdiction
- All transactions comply with Libyan laws and regulations governing oilfield services and industrial supply.
- Any dispute not settled amicably shall be resolved under the jurisdiction of the competent court in Tripoli, Libya.
